1. Acceptance of Terms
By creating an account, accessing, or using Exporb in any way, you acknowledge that:
You have read, understood, and agree to be bound by these Terms
You have read and agree to our Privacy Policy
You have read and agree to our Cookie Policy
You will comply with all applicable laws when using Exporb
How You Accept These Terms
By clicking "Sign Up," "Sign In," "Sign up with Google," "Sign in with Telegram," or any similar registration/login button, you are entering into a legally binding agreement with Aeon Kosmos, LLC and confirm that you accept these Terms of Service, our Privacy Policy, and our Cookie Policy. If you do not agree, do not create an account or use Exporb.
If you do not agree to these Terms, you may not use Exporb. We reserve the right to modify these Terms at any time (see Section 17).
2. Eligibility
To use Exporb, you must:
- Be at least 16 years old (18 in some jurisdictions)
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under applicable laws
- Use Exporb for lawful business purposes only
Age Verification: By creating an account, you represent that you meet the minimum age requirement. If we discover that you do not, we will terminate your account immediately.
3. Accounts & Registration
3.1 Account Creation
You must provide:
- Accurate, current, and complete information
- A valid email address
- A secure password
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password
- All activities that occur under your account
- Notifying us immediately of unauthorized access
Security Notice: Never share your password. We will never ask for your password via email or phone. If you suspect unauthorized access, change your password immediately and contact us at support@exporb.com.
4. Recording Consent & Legal Compliance
YOU ARE SOLELY RESPONSIBLE FOR LEGAL COMPLIANCE
Recording laws vary by jurisdiction. In many locations, all parties must consent before recording a conversation. By using Exporb's recording features, you warrant that:
You will obtain all necessary consents before recording any conversation
You will comply with all applicable laws in your jurisdiction and the jurisdiction of the person being recorded
You understand that violations may result in criminal charges and civil liability
You will immediately delete recordings if consent is revoked
Two-Party Consent Jurisdictions
Many US states and international jurisdictions require consent from ALL parties before recording. Laws vary significantly and change frequently.
We do not provide legal advice. Before recording any conversation, consult with a qualified attorney in your jurisdiction and the jurisdiction(s) of all parties being recorded to understand your legal obligations.
GDPR Compliance (EU/UK)
If recording in the EU/UK, you must:
- Inform individuals before recording (lawful basis under GDPR)
- Obtain explicit consent for recording voice data
- Honor data subject rights (access, deletion, etc.)
- Maintain records of consent (proof of compliance)
Express Consent to Recording, Interception, and AI Processing
By creating an account and pressing the record button, you expressly consent — for yourself and on behalf of every participant whose voice you submit — to the recording, interception, transmission, storage, transcription, and analysis of those communications by Exporb and our AI sub-processors (including Google and any successor or replacement provider). This consent is given knowingly and voluntarily, is conspicuous within the meaning of any applicable wiretap or eavesdropping law, and survives termination. You represent and warrant that you have already obtained all consents required by federal, state, and foreign law (including all-party consent statutes such as Cal. Penal Code § 632 and analogous laws of Connecticut, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, Vermont, and Washington) from every party to every recorded conversation before such conversation is captured by the Service.
User Assumption of Recording Risks
You assume all risks associated with recording conversations through the Service, including risks under the federal Wiretap Act (18 U.S.C. § 2511), the Electronic Communications Privacy Act, state two-party-consent statutes, the Illinois Biometric Information Privacy Act (740 ILCS 14), GDPR Articles 6 and 9, and any analogous foreign law. We do not advise on the legality of any specific recording. Your use of the Service constitutes your warranty of full legal compliance and an unconditional release of Aeon Kosmos LLC and our sub-processors from any claim asserting otherwise.
Best Practice: Always announce "This conversation is being recorded" and obtain verbal consent (captured in the recording) or use a written consent form before starting.
5. You Are the Data Controller for Third-Party Contact Data
When you collect personal information about third parties (e.g., booth visitors, leads, contacts), you are the data controller under GDPR, CCPA, and similar privacy laws. Exporb acts as a data processor on your behalf.
Your Responsibilities as Data Controller:
- Inform contacts about data collection and processing (privacy notice)
- Obtain necessary consents (GDPR Article 6, CCPA)
- Honor data subject rights (access, deletion, correction, portability)
- Ensure data accuracy and security
- Comply with data retention and deletion requirements
- Report data breaches to authorities (if applicable)
Important Legal Distinction
Exporb does not:
- Control how you collect contact data
- Determine purposes of processing third-party contact data
- Use contact data for our own purposes (except service delivery)
- Share contact data with third parties (except service providers for AI analysis)
You control: What data is collected, how it's used, who can access it, and when it's deleted.
6. Acceptable Use Policy
You agree to use Exporb only for lawful business purposes in compliance with all applicable laws and regulations.
Acceptable Uses
- Recording trade show conversations (with consent)
- Managing business contacts and leads
- Collaborating with your team
- Analyzing customer interactions for sales/marketing insights
- Organizing and following up with prospects
7. Prohibited Activities
You may NOT use Exporb to:
Illegal Recording
Record conversations without required consent under applicable laws
Privacy Violations
Violate privacy rights, stalk, harass, or collect data for unlawful purposes
Illegal Activities
Engage in fraud, money laundering, or any illegal activity
Spam & Abuse
Send unsolicited communications, spam, or abuse the Service
Security Attacks
Attempt to hack, reverse engineer, or compromise the Service's security
Scraping & Automation
Use bots, scrapers, or automated tools without permission
Reselling
Resell or redistribute the Service without written permission
Harmful Content
Upload malware, viruses, or content that infringes third-party rights
Consequences: Violation of these prohibitions may result in immediate account termination, legal action, and reporting to law enforcement.
7A. Content Moderation & Your Rights (EU Digital Services Act)
For users in the European Union, the following disclosures are made under the EU Digital Services Act (Regulation 2022/2065). These supplement — and do not replace — the general provisions in Section 7 (Prohibited Activities) and Section 12 (Termination).
Content Moderation Process (DSA Art.14)
Exporb is a business-to-business application. User-generated content consists of contact records, meeting notes, audio recordings, and associated files created through normal use of the service. We do not proactively monitor user content, but we moderate reactively in the following circumstances:
- A valid notice is received through our reporting mechanism (see below)
- Automated detection of malware, virus uploads, or security threats
- A legal order from a competent authority requires action
- We become aware of content that clearly violates these Terms or applicable law
All content moderation decisions are made by human review. Exporb does not currently deploy automated content moderation tools beyond standard malware/virus scanning. No decision with legal effects is made solely by automated means.
Statement of Reasons (DSA Art.17)
If we restrict, remove, or suspend your content or account, you are entitled to receive a clear and specific statement of reasons. This statement will include:
- Whether the decision involved removal, restriction, or suspension
- The factual basis and specific ground for the decision
- Whether automated means were used (and if so, a description)
- The applicable legal or contractual basis
- Available redress options, including internal complaint handling and out-of-court dispute settlement
To request a statement of reasons for a moderation decision, contact dsa@exporb.com. We will respond within 14 days.
Internal Complaint-Handling System (DSA Art.20)
If you believe a content moderation decision was made in error, you may submit a complaint through our internal complaint-handling system. Complaints are reviewed by qualified personnel who were not involved in the original decision. You may file a complaint by emailing support@exporb.com with subject “DSA Appeal” and including:
- The decision you are appealing
- Why you believe the decision was incorrect
- Any supporting evidence
We will acknowledge receipt within 5 business days and issue a decision within 14 days. If your complaint is upheld, we will reverse the moderation decision without undue delay. The complaint-handling system is available for at least 6 months following the moderation decision. Complaints are free of charge and handled electronically.
Out-of-Court Dispute Settlement (DSA Art.21)
If you are dissatisfied with the outcome of our internal complaint-handling process, you have the right to select any certified out-of-court dispute settlement (ODS) body to resolve the dispute. Certified ODS bodies are listed in the EU Commission's public registry at digital-strategy.ec.europa.eu. The ODS body's decision is binding on Exporb but not on you — you retain the right to seek judicial redress. We will bear the costs of the ODS procedure if the body finds in your favor.
Reporting Illegal Content (DSA Art.16)
Anyone may report content they believe is illegal through our notice-and-action mechanism:
- Email: abuse@exporb.com
- Include: description of the content, its location (URL or identifier), explanation of why it is illegal, and your contact information
- We acknowledge receipt within 5 business days
- We process notices in compliance with DSA Art.16
We may prioritize notices from trusted flaggers as defined under DSA Art.19. Trusted flagger status is granted by EU Member State Digital Services Coordinators.
8. Your Content
8.1 Ownership
You retain all ownership rights to your content (contacts, recordings, notes, files). Exporb does not claim ownership of your data.
8.2 License to Exporb
By uploading content, you grant Exporb a limited, non-exclusive, royalty-free license to:
- Store, process, and display your content to provide the Service
- Send audio to our AI provider for transcription and analysis
- Create backups for disaster recovery
- Improve the Service (anonymized, aggregated data only)
This license ends when you delete your content or close your account (subject to backup retention, see Section 8 of Privacy Policy).
8.3 No AI Model Training on Customer Content
We do not use Customer Content (your contacts, recordings, notes, transcripts, business card images, or any other data you submit) to train, retrain, or fine-tune any artificial intelligence or machine-learning model — neither our own models nor those of any third party. AI processing of your content occurs in real time via our AI providers' paid API tiers under contracts that prohibit training-data use, and outputs are returned to you only.
8.4 Your Responsibility
You warrant that your content:
- Does not violate any laws or third-party rights
- Was collected lawfully with necessary consents
- Does not contain malware or harmful code
- Does not infringe intellectual property rights
9. Intellectual Property
Exporb and all related trademarks, logos, software, and content (excluding your user content) are owned by Aeon Kosmos, LLC and protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or distribute our software or content
- Use our trademarks without permission
- Reverse engineer or decompile the Service
- Create derivative works based on the Service
Feedback you provide may be used by Exporb without obligation or compensation to you.
10. AI Features & Disclaimers
10.1 AI Accuracy Disclaimer
AI-generated transcriptions, summaries, and insights are provided "as-is" and may contain errors, omissions, or inaccuracies. AI technology is not perfect. You should:
- Review all AI outputs for accuracy before relying on them
- Listen to original audio recordings when critical details matter
- Not use AI outputs for legal, medical, or safety-critical decisions without verification
- Understand that AI may misinterpret accents, jargon, or background noise
10.2 No Automated Decisions
Exporb does not make automated decisions that significantly affect you. All AI outputs are for informational purposes only. You retain full control over how you use the insights.
10.3 Third-Party Service Providers
We use the following third-party service providers to operate Exporb:
- Cloud Infrastructure Provider — Cloud database, authentication, and file storage
- Stripe — Payment processing and subscription management
- Google — AI-powered analysis, transcription, and text extraction
- Error Monitoring Provider — Error tracking and application performance monitoring (requires analytics consent)
- Product Analytics Provider — Product analytics and session metrics (requires analytics consent)
- Hosting Provider — Web hosting and serverless API functions
Your data shared with these providers is governed by our Data Processing Agreements with them. Analytics services are only active when you grant analytics consent.
10.4 Mobile Application
Exporb is available as a native iOS application. The mobile app may request permission to access your device camera (for business card scanning and contact photos), photo library, and local storage. You can manage these permissions in your device settings at any time. Revoking camera or photo library access will disable related features but will not affect other app functionality.
11. Subscriptions & Payments
11.1 Subscription Tiers
Exporb offers the following plans:
- Free Plan: Basic features with usage limits (always available)
- Personal Plan: Individual power user features
- Business Plan: Collaboration features for teams
Current pricing is available on our pricing page. Prices are subject to change with 30 days notice.
11.2 Currency & Taxes
- Prices are displayed in USD or EUR depending on your region
- All prices are exclusive of applicable taxes
- You are responsible for all taxes, VAT, duties, and levies applicable in your jurisdiction
- Tax amounts, if any, will be calculated and displayed at checkout
11.3 Billing & Auto-Renewal
Auto-Renewal: Paid subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription fee. For web subscriptions (purchased on exporb.com), we will send a renewal reminder email approximately 7 days before each renewal so you can cancel or make changes before you are charged.
iOS App Store Subscriptions — Apple-Required Disclosures
- Payment will be charged to your Apple ID account at confirmation of purchase.
- Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
- Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate disclosed at signup.
- Subscriptions may be managed by the user, and auto-renewal may be turned off by going to the user's Account Settings (Settings → Apple ID → Subscriptions) after purchase.
- No cancellation of the current subscription is permitted during an active subscription period — cancellation takes effect at the end of the current period.
- Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription, where applicable.
Google Play Subscriptions — Google-Required Disclosures
- Payment will be charged to the Google account associated with your device at confirmation of purchase.
- Subscription automatically renews unless cancelled at least 24 hours before the end of the current period.
- Your Google account will be charged for renewal within 24 hours prior to the end of the current period at the rate disclosed at signup.
- Manage or cancel your subscription at any time in the Google Play Store → Subscriptions on your device, or at play.google.com/store/account/subscriptions.
- Cancellation takes effect at the end of the current billing period — you retain access to paid features until then.
- Any unused portion of a free trial period, if offered, will be forfeited when you start a paid subscription.
- Subscriptions are billed monthly or annually (your choice at signup)
- Payments are processed securely via PCI-compliant payment processors
- You will receive email receipts for all payments
- You will receive a renewal reminder email before each web subscription renewal
- We reserve the right to change prices with 30 days advance notice via email
11.4 Payment Authorization & Storage
By subscribing to a paid plan, you authorize us to:
- Charge your payment method on file for the subscription fee
- Continue charging on each renewal date until you cancel
- Securely store your payment method with our payment processor for recurring billing
- Charge prorated amounts when you upgrade your plan mid-cycle
We do not store your full credit card number. Payment details are securely handled by Stripe, our PCI DSS Level 1 compliant payment processor.
11.5 Failed Payments
If a payment fails:
- We will notify you via email and attempt to charge your payment method again
- You have a 7-day grace period to update your payment method
- During the grace period, your access to paid features continues
- If payment is not resolved within 7 days, your account will be downgraded to the Free plan
- You can restore your paid plan by updating your payment method and resubscribing
11.6 Plan Changes & Proration
- Upgrading: Takes effect immediately. You will be charged a prorated amount for the remainder of your billing period.
- Downgrading: Takes effect at the end of your current billing period. You retain access to higher-tier features until then.
- Switching billing cycles: Changes from monthly to annual (or vice versa) take effect at your next renewal.
11.7 Cancellation & Refunds
Web subscriptions (purchased on exporb.com): Cancel anytime from Settings → Billing.
iOS subscriptions (purchased through the App Store): Manage or cancel under Settings → Apple ID → Subscriptions on your device. Cancellation must be made at least 24 hours before the renewal date to avoid being charged for the next period. Refunds for App Store purchases are issued by Apple at their discretion via reportaproblem.apple.com — we cannot issue refunds for iOS purchases.
Android subscriptions (purchased through Google Play): Manage or cancel under Google Play Store → Subscriptions on your device, or at play.google.com/store/account/subscriptions. Cancellation must be made at least 24 hours before the renewal date. Refunds for Google Play purchases are governed by the Google Play refund policy — Google reviews and issues refunds at its discretion. We cannot issue refunds for Google Play purchases.
Upon cancellation (via either channel):
- Your subscription will not renew at the next billing date
- You retain access to paid features until the end of your current billing period
- No refunds are provided for partial months or years (web subscriptions)
- Your account will automatically downgrade to the Free plan
- Your data remains intact on the Free plan (subject to Free plan limits)
All fees are non-refundable unless required by applicable law or at our sole discretion.
Payment Processor Liability Shift
All payments are processed by Stripe (web) or Apple In-App Purchase via our subscription infrastructure provider (iOS), each subject to its own terms of service. We act as a merchant of record only to the extent required to fulfill the subscription. Aeon Kosmos LLC is not liable for, and you release us from, any claim arising out of (a) acts or omissions of Stripe, Apple, or our subscription infrastructure provider; (b) chargebacks initiated through your card issuer or Apple ID; (c) currency-conversion or processor fees applied by your bank; or (d) payment failures, disputes, fraud-screening declines, or refund decisions made by a processor. Payment-card data is handled exclusively by Stripe (PCI DSS Level 1) and Apple; we never receive or store full card numbers.
Continued Use Constitutes Affirmative Consent
Your continued access to or use of the Service after these Terms or any of our policies are made available to you constitutes your affirmative, informed, unambiguous consent to all disclosures contained therein, including (i) the recording-and-AI-processing consent in Section 4 above, (ii) third-party access to your data for analytics, AI processing, payment processing, and service provision, (iii) the Limitation of Liability and Indemnification in Sections 14 and 15, and (iv) Mandatory Arbitration and the Class Action Waiver in Section 16. This notice is conspicuous and binding as a matter of law.
EU/EEA Customers: 14-Day Right of Withdrawal
Under the EU Consumer Rights Directive, you have the right to withdraw from your subscription within 14 days of purchase for a full refund, without giving any reason.
Exception: If you have actively used the Service during the 14-day period (e.g., created contacts, made recordings, or used AI features), you acknowledge that you have requested immediate performance and waive your right to withdrawal for services already rendered.
To exercise your right of withdrawal, contact us at support@exporb.com with your account email and purchase details.
11.8 Billing Disputes
If you believe you were incorrectly charged:
- Contact us at support@exporb.com within 30 days of the charge
- Include your account email and details of the disputed charge
- We will investigate and respond within 10 business days
Initiating a chargeback with your bank without first contacting us may result in account suspension pending investigation.
12. Termination
12.1 Termination by You
You may close your account anytime from Settings. Upon account closure:
- Your data will be deleted after 30 days (recovery period)
- You will lose access to all content and features
- Outstanding payments are still due
12.2 Termination by Exporb
We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- You engage in illegal activity
- Your account is used for fraud or abuse
- You fail to pay subscription fees
- Required by law or legal process
We will attempt to provide notice before termination unless immediate action is required for security or legal reasons.
13. Disclaimers & Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPORB AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Guarantees of uninterrupted, secure, or error-free service
- Accuracy or reliability of AI-generated content
- Compatibility with your devices or software
- Data backup or recovery (though we make reasonable efforts)
AI Output Disclaimer
AI features (including transcription, contact extraction, and conversation analysis powered by Google's AI services or any successor provider) may produce inaccurate, incomplete, fabricated, biased, or otherwise erroneous outputs ("AI Hallucinations"). All AI output is provided for informational purposes only. You are solely responsible for independently verifying any AI output before relying on it for any business, financial, legal, medical, employment, or other decision. We expressly disclaim any warranty regarding the accuracy, reliability, completeness, currentness, or fitness of AI output for any purpose, and we are not liable for damages arising from your reliance on AI Hallucinations.
You use Exporb at your own risk. We strongly recommend maintaining your own backups of critical data.
14. Limitation of Liability
EXPORB'S LIABILITY IS LIMITED
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEON KOSMOS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Data loss or corruption (even if we were advised of the possibility)
- Legal liability arising from your recording of conversations without consent
- Errors or inaccuracies in AI-generated content
- Third-party actions (including AI service providers)
- Unauthorized access to your account due to your password compromise
OUR TOTAL AGGREGATE LIABILITY arising out of or related to these Terms or the Service, regardless of theory (contract, tort, statute, or otherwise), shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100.
Exceptions to the Liability Cap
The cap above does NOT apply to your obligations under Section 15 (Indemnification), your payment obligations, your breach of Section 8 (Your Content) including the recording-consent warranties, your violation of intellectual-property rights, or your fraud, gross negligence, or willful misconduct. Your liability for those items is uncapped.
Essential Basis of the Bargain
You acknowledge that the limitations in this Section reflect a reasonable allocation of risk between the parties, are an essential part of the bargain, and that the Service would not be provided to you without these limitations.
Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Aeon Kosmos, LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these Terms or applicable laws
- Recording conversations without required consent
- Your violation of third-party privacy or intellectual property rights
- Your use of Exporb for illegal or unauthorized purposes
- Your content (recordings, data, files)
- Your breach of data protection laws as a data controller
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
16. Dispute Resolution
16.1 Governing Law
These Terms and any dispute arising out of or relating to your use of the Service shall be governed exclusively by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. To the maximum extent permitted by law, the parties intend that no other state's substantive law shall apply, including but not limited to California Penal Code §§ 630–638 (CIPA), the Florida Security of Communications Act, the Illinois Biometric Information Privacy Act (740 ILCS 14), the Massachusetts Wiretap Act (M.G.L. c. 272 § 99), the Pennsylvania Wiretapping and Electronic Surveillance Control Act, or any analogous state wiretap, eavesdropping, or biometric-information statute. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2 Arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration (not court) in accordance with the American Arbitration Association (AAA) Consumer Arbitration Rules.
Arbitration Details:
- Location: Arbitration will be conducted in Boise, Idaho, USA, or remotely via video conference at your election
- Language: English
- Fee Allocation: Each party pays their own attorneys' fees. AAA filing fees will be split equally, except that we will pay your share of filing fees for claims under $10,000
- Arbitrator: A single arbitrator selected in accordance with AAA rules
- Decision: The arbitrator's decision is final and binding, and may be entered as a judgment in any court of competent jurisdiction
Exceptions to Arbitration:
- You may bring claims in small claims court if they qualify (typically disputes under $10,000)
- Either party may seek injunctive relief in court for intellectual property infringement
- EU/EEA residents may pursue claims through local consumer protection agencies
16.3 Class Action Waiver
You agree to resolve disputes on an individual basis only, not as part of a class action or consolidated proceeding.
17. Changes to Terms
We may modify these Terms at any time. When we do:
- We will update the "Last updated" date at the top
- For material changes, we will email you at your registered email
- Changes take effect 30 days after notice (or immediately for legal/security reasons)
- Continued use after changes constitutes acceptance
If you do not agree to the updated Terms, you must stop using the Service and may close your account.
18. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Exporb.
Severability
If any provision is found invalid, the remaining provisions continue in full force.
No Waiver
Failure to enforce any right does not waive that right.
Assignment
You may not assign these Terms. We may assign our rights to affiliates or acquirers.
Force Majeure
We are not liable for delays/failures due to events beyond our control (natural disasters, wars, pandemics, government actions).
Export Controls & Sanctions
Exporb is provided from the United States and is subject to U.S. export-control and economic-sanctions laws (including OFAC, EAR, and ITAR).
